Terms and Conditions of Service

Welcome to the Premium Content Creator Platform (referred to herein as "the Platform," "we," "us," or "our"). These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your," whether acting as a Creator or a Fan) and the Platform. These Terms govern your access to and use of our website, mobile applications, software, and any associated services (collectively, the "Services").

By registering for an account, accessing, browsing, or otherwise utilizing our Services, you explicitly acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. Furthermore, you agree to our Privacy Policy, our Acceptable Use Policy, and any other guidelines we may publish from time to time. If you do not agree to all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately. Due to the nature of user-generated content and financial transactions on our Platform, compliance with these Terms is rigorously enforced.

1. Eligibility and Age Requirements

Access to and use of the Platform is strictly limited to individuals who meet our rigorous eligibility criteria. The Platform is designed for an adult audience and may host content that is intended solely for mature viewers.

  • Minimum Age: You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction of residence, whichever is higher, to create an account, view content, or use the Services in any capacity.
  • Verification: We utilize third-party identity verification services to ensure compliance with this requirement. By submitting identification documents (such as a passport or driver's license) and a live facial scan ("selfie"), you warrant that all information provided is accurate and belongs to you. Using false identification or impersonating another individual is a severe violation of these Terms and will result in immediate account termination and potential legal action.
  • Legal Capacity: You must possess the legal capacity to enter into a binding contract with us and not be barred from receiving services under the laws of the United States or other applicable jurisdictions.
  • Compliance with Local Laws: It is your sole responsibility to ensure that your use of the Platform complies with all local, state, national, and international laws and regulations applicable to you. If accessing the Platform is prohibited in your jurisdiction, you must not use our Services.

2. Account Creation and Security

To engage fully with the Platform, whether subscribing to content or monetizing your own, you must create a registered account. Your account is personal to you and may not be shared.

When creating an account, you agree to provide true, accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication codes. You accept full responsibility for any and all activities, charges, and damages that occur under your account, regardless of whether you authorized such activities.

You must notify us immediately of any unauthorized use of your password or account or any other breach of security. We reserve the right to suspend or terminate your account, at our sole discretion, if we suspect that your account has been compromised or if you have violated these Terms. We will not be liable for any loss or damage arising from your failure to protect your account information.

3. User Roles: Creators and Fans

The Platform facilitates interactions between two primary types of users: Creators and Fans. A single account may operate as both a Creator and a Fan simultaneously.

  • Fans: A "Fan" is a user who utilizes the Platform to browse, view, and interact with content uploaded by Creators. Fans may purchase monthly subscriptions, pay-per-view (PPV) messages, and send tips to Creators.
  • Creators: A "Creator" is a user who uploads original content, sets subscription prices, and monetizes their digital media through the Platform. Creators operate as independent contractors and are not employees, agents, or partners of the Platform. Creators are entirely responsible for their content, managing their subscriptions, and fulfilling obligations to their Fans.

4. User Content and Intellectual Property

The core of the Platform is user-generated content. This section dictates the ownership and licensing of the media you upload.

4.1 Ownership

You retain all ownership rights to the photos, videos, audio, text, and other media you upload, post, or display on or through the Services ("User Content"). We do not claim ownership of your intellectual property. However, to operate the Platform, we require certain licenses from you.

4.2 License to the Platform

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, cache, use, display, reproduce, modify, adapt, edit, publish, and distribute your User Content solely for the purposes of operating, developing, providing, and promoting the Services. This license allows us to display your content to your paying subscribers, process it for safety moderation, and deliver it across our global content delivery networks.

4.3 Representations and Warranties

You represent and warrant that: (i) you own the User Content posted by you or otherwise have the right to grant the license set forth above; (ii) the posting and use of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person; and (iii) you have obtained explicit, written consent and age verification from any and all individuals who appear in your User Content, and you will provide such documentation to us immediately upon request.

5. Acceptable Use Policy

To ensure a safe, legal, and respectful environment, we strictly enforce our Acceptable Use Policy. You agree that you will NOT post, upload, or transmit any User Content, nor engage in any behavior, that:

  • Is illegal, promotes illegal acts, or violates any applicable local, state, national, or international law.
  • Depicts, promotes, or facilitates non-consensual sexual content, including "revenge porn" or deepfakes.
  • Involves, depicts, or implies the sexualization, abuse, or exploitation of minors (individuals under the age of 18). Any such content will be immediately reported to the National Center for Missing and Exploited Children (NCMEC) and relevant law enforcement authorities.
  • Promotes violence, terrorism, self-harm, or physical violence against oneself or others.
  • Constitutes hate speech, harassment, bullying, or discrimination based on race, ethnicity, national origin, religion, disability, age, gender identity, or sexual orientation.
  • Depicts bestiality, necrophilia, incest, or extreme graphic violence and gore.
  • Infringes upon the trademark, copyright, or intellectual property rights of others.
  • Attempts to defraud users or the Platform, including the promotion of scams, "get rich quick" schemes, or unauthorized lotteries and giveaways.

We employ both automated machine learning systems and human moderation teams to review content. We reserve the right to remove any content, at any time, without prior notice, if we determine in our sole discretion that it violates these Terms.

6. Payments, Subscriptions, and Billing

The Platform operates on a subscription and direct-payment model. The following terms govern all financial transactions.

6.1 Fan Purchases

Fans may support Creators through monthly recurring subscriptions, one-time tips, or purchasing Pay-Per-View (PPV) content. By providing payment card information, you authorize our third-party payment processors (e.g., Stripe) to charge your card for the specified amounts. All payments are processed in USD, and you are responsible for any currency conversion fees charged by your bank.

Monthly subscriptions automatically renew unless canceled prior to the end of the current billing cycle. You may cancel your subscription at any time through your account settings; however, access to the Creator's content will remain active until the end of the paid period.

6.2 Refunds and Chargebacks

Because the Services provide immediate access to digital media, all purchases are final and non-refundable. We do not offer prorated refunds for canceled subscriptions. If a Fan experiences technical issues accessing content, they must contact Support for assistance.

Filing a fraudulent chargeback or payment dispute with your bank or credit card provider is a violation of these Terms. If you initiate a chargeback, your account will be immediately suspended, and you may be permanently banned from the Platform. We reserve the right to dispute chargebacks and provide evidence of your transaction and access to the digital goods.

7. Creator Earnings and Payouts

Creators use the Platform to monetize their content. We facilitate these transactions and provide the hosting infrastructure in exchange for a percentage of the revenue generated.

7.1 Revenue Share

The Platform retains twenty percent (20%) of all gross revenues generated by a Creator on the Platform (including subscriptions, tips, and PPV purchases). The Creator is entitled to receive the remaining eighty percent (80%) of the gross revenue ("Creator Earnings"). This 80/20 split is fixed and covers all platform hosting, payment processing fees (excluding specific regional bank transfer fees), and customer support costs.

7.2 Payout Schedule and Requirements

Creator Earnings become available for withdrawal after a mandatory clearing period (typically 7 to 21 days, depending on risk assessment and payment method) to mitigate fraud and chargeback risks. Creators must reach a minimum payout threshold (e.g., $20 USD) before requesting a withdrawal.

To receive payouts, Creators must complete a W-9 (for US residents) or W-8BEN (for non-US residents) tax form and provide valid bank account information compatible with our payment gateways. Creators are solely responsible for reporting and paying all applicable local, state, and federal taxes on their Creator Earnings.

We reserve the right to withhold payouts, freeze funds, or reverse transactions if we suspect fraud, money laundering, violation of the Acceptable Use Policy, or if a high volume of chargebacks is initiated against a Creator's account.

8. Copyright Infringement and DMCA Policy

We respect the intellectual property rights of others and expect our users to do the same. We respond to valid notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA).

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible on the Platform, you must provide our designated Copyright Agent with a written communication containing the following information:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright.
  2. Identification of the copyrighted work claimed to have been infringed.
  3. Identification of the material that is claimed to be infringing, along with URLs or sufficient information to permit us to locate the material.
  4. Your contact information, including address, telephone number, and email address.
  5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Notices of copyright infringement should be sent to: [email protected]. In accordance with the DMCA, we have a policy of terminating accounts of repeat infringers.

9. Account Suspension and Termination

We reserve the right, in our sole and absolute discretion, to suspend, restrict, or terminate your account and your access to the Services at any time, for any reason, without notice or liability. Common reasons for termination include, but are not limited to:

  • Violations of these Terms or the Acceptable Use Policy.
  • Engagement in fraudulent or illegal activities.
  • Failure to pass identity verification or providing false information.
  • Initiating fraudulent chargebacks.
  • Extended periods of inactivity.

Upon termination, your right to use the Platform ceases immediately. If you are a Creator, we will attempt to disburse any remaining, non-disputed Creator Earnings to your linked account, subject to our fraud investigation protocols. We are not liable for any loss of data, content, or revenue resulting from account termination.

10. Disclaimers and Limitation of Liability

10.1 "As Is" Basis

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Limitation of Liability

IN NO EVENT SHALL THE PLATFORM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY OR OTHER USER ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Platform, its parent companies, subsidiaries, affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be San Francisco, California. You and the Platform agree to submit to the personal jurisdiction of the federal and state courts located in San Francisco County, California for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.

Class Action Waiver: You agree that any legal proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

13. Modifications to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.
